Business Terms and Conditions of Sale
Applicable from 17 July 2026.
This website is an information website only. Products cannot be ordered or paid for online.
International professional customers contact SAS JCOM by email or through the contact form. SAS JCOM then issues a written quotation. Goods are dispatched after acceptance of the quotation and receipt of payment, unless different written terms have been expressly agreed.
Clause 1 – Purpose and Scope
These Business Terms and Conditions of Sale apply exclusively to sales made by SAS JCOM to professional customers, including dental laboratories, dental technicians, training centres, distributors and other business buyers.
They form the basis of the commercial relationship unless specific written conditions have been expressly accepted by SAS JCOM.
Clause 2 – Request for Quotation
Customers may request product information or a quotation by email or through the contact form.
A request does not constitute an order and does not oblige SAS JCOM to supply the requested products.
Clause 3 – Quotation and Order Acceptance
The quotation issued by SAS JCOM states the products, quantities, prices, applicable taxes, shipping costs, payment terms, estimated dispatch time and any specific commercial conditions.
The order becomes binding when the customer accepts the quotation in writing and SAS JCOM confirms the order.
Acceptance of the quotation constitutes full acceptance of these Business Terms and Conditions of Sale.
Clause 4 – Prices
Prices are those stated in the accepted quotation.
Unless otherwise indicated, prices are expressed in euros and exclude VAT, customs duties, import taxes, bank charges and any other costs not expressly included in the quotation.
For international shipments, the customer remains responsible for customs formalities, import duties, local taxes and any charges payable in the country of destination, unless the quotation expressly provides otherwise.
SAS JCOM may modify its prices at any time. Products covered by an accepted quotation will be invoiced at the price stated in that quotation.
Clause 5 – Discounts
Any discount, rebate or commercial allowance applies only where expressly stated in the quotation, commercial agreement or invoice.
No discount is granted for early payment unless expressly agreed in writing.
Clause 6 – Payment
Unless different written terms are expressly stated in the quotation, full payment is required before dispatch.
Payment must be made using the method and bank details indicated by SAS JCOM.
Bank charges and currency-conversion costs charged to the customer or by the customer’s bank are borne by the customer.
Clause 7 – Late Payment
This clause applies where SAS JCOM has expressly granted a payment period.
Any amount not paid by its due date will automatically give rise, without prior reminder, to late-payment penalties calculated at three times the French statutory interest rate applicable on the due date.
A fixed recovery charge of EUR 40 will also be payable for each overdue invoice.
Where actual recovery costs exceed this amount, SAS JCOM may claim additional compensation upon supporting evidence.
Clause 8 – Product Availability and Dispatch
Products are supplied subject to availability.
Any dispatch or delivery date stated in the quotation is an estimate unless SAS JCOM expressly confirms a guaranteed date in writing.
A reasonable delay caused by production requirements, supply difficulties, transport disruption, customs clearance or circumstances beyond the control of SAS JCOM does not automatically entitle the customer to cancel the order or claim compensation.
Clause 9 – Delivery and Transfer of Risk
The delivery method, carrier, shipping cost and destination are stated in the quotation.
Where an Incoterm is specified, the version of the Incoterms rules stated in the quotation applies.
In the absence of a specific written provision, the risk of loss or damage transfers to the customer when the goods are handed over to the carrier.
Clause 10 – Inspection and Transport Claims
The customer must inspect the shipment immediately upon delivery.
Any visible shortage, damage or transport issue must be recorded clearly and precisely on the carrier’s delivery document and reported to SAS JCOM without delay.
The customer must also complete any formal claim required by the carrier within the carrier’s applicable time limit.
Photographs and supporting documents may be requested.
Clause 11 – Product Conformity and Claims
Any claim concerning an incorrect product, quantity discrepancy or apparent non-conformity must be sent to SAS JCOM in writing as soon as possible after delivery.
The claim must include the order reference, batch number where applicable, photographs and a clear description of the issue.
Products must be stored, handled and used in accordance with their labels, instructions, technical documents and professional good practice.
SAS JCOM is not responsible for damage caused by unsuitable storage, misuse, alteration, use outside the intended purpose or failure to follow the applicable instructions.
Clause 12 – Returns
No return may be made without the prior written agreement of SAS JCOM.
Any authorised return must follow the instructions issued by SAS JCOM and must allow the products and batch numbers to be clearly identified.
Products that have been opened, used, altered, incorrectly stored, specially manufactured or specifically ordered for the customer may not be returned, except where required by applicable law or expressly accepted by SAS JCOM.
Clause 13 – Retention of Title
SAS JCOM retains ownership of the goods until full payment of all amounts due in relation to the order, including the principal price, taxes, shipping costs and related charges.
Clause 14 – Liability
SAS JCOM is liable only for direct and proven loss resulting from a breach of its contractual obligations.
To the extent permitted by applicable law, SAS JCOM is not liable for indirect loss, loss of business, loss of profit, loss of production, loss of opportunity or damage resulting from improper storage, handling or use of the products.
Nothing in these terms excludes liability that cannot lawfully be excluded or limited.
Clause 15 – Force Majeure
SAS JCOM will not be liable for failure or delay in performing an obligation where performance is prevented by an event meeting the conditions of force majeure under Article 1218 of the French Civil Code.
Clause 16 – Intellectual Property
The sale of products does not transfer any intellectual property right relating to the JCOM Dental brand, formulations, technical documentation, photographs, designs, labels or other protected material.
Clause 17 – Personal Data
Personal data relating to the customer’s representatives is processed for quotation preparation, order management, invoicing, delivery, customer support, legal compliance and management of the professional relationship.
Clause 18 – Governing Law and Jurisdiction
These terms and all sales by SAS JCOM are governed by French law.
Any dispute relating to the formation, interpretation, performance or termination of the commercial relationship that cannot be resolved amicably shall fall within the exclusive jurisdiction of the Commercial Court of Chalon-sur-Saône, France, subject to any mandatory rule of law to the contrary.
Clause 19 – Language
These terms are provided in English for international professional customers.
Where a French version and an English version are both issued and differ, the French version prevails, unless SAS JCOM expressly agrees otherwise in writing.
